1. Introduction

Welcome to Elysian Plaza, an online B2B and B2C e commerce marketplace owned and operated by YumiGlow Online Services Private Limited (YumiGlow, Company, we, our, or us), having its registered office at Izzathnagar, Hyderabad, Telangana, India.

Elysian Plaza is a digital marketplace designed to connect beauty and wellness professionals, including salon owners, spa owners, beauticians, makeup artists, and eligible consumers, with trusted distributors, brands, and suppliers offering professional beauty, wellness, salon, spa, and related products.

These Terms of Use govern your access to and use of the Elysian Plaza website, mobile application, services, features, and any related platforms (collectively, the Platform). By accessing, browsing, registering, or using the Platform, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms, along with our Privacy Policy, Refund and Cancellation Policy, Shipping and Delivery Policy, and any other policies published by YumiGlow.

If you do not agree with these Terms, you must discontinue use of the Platform immediately.

2. Acceptance of terms

By using the Platform, you represent and warrant that:

• You have read and understood these Terms
• You agree to comply with all applicable laws and regulations
• You accept all policies published on the Platform
• The information provided by you is true, accurate, and complete
• You will update your information whenever necessary to keep it accurate

3. Definitions

Platform means the Elysian Plaza website, mobile application, software, APIs, services, and all related digital platforms operated by YumiGlow. Company, YumiGlow, we, our, or us refers to YumiGlow Online Services Private Limited.

User means any individual or business accessing or using the Platform. Buyer means any customer purchasing products through the Platform, including salon owners, spa owners, beauticians, makeup artists, professionals, businesses, or eligible consumers. Seller or Distributor means any authorised distributor, supplier, manufacturer, or business listing products on the Platform.

Order means a confirmed purchase request placed through the Platform. Products include salon, spa, beauty, cosmetic, wellness, personal care, professional equipment, accessories, consumables, electronics, furniture, and any other products listed on the Platform.

Content includes product listings, text, graphics, images, videos, trademarks, logos, designs, software, documentation, and other materials available on the Platform. User Content means any reviews, ratings, photographs, videos, comments, feedback, suggestions, or testimonials submitted by users.

4. Eligibility

To use the Platform, you must be at least 18 years of age, or access the Platform under the supervision of a parent or legal guardian if permitted by applicable law.

By using the Platform, you confirm that you are legally competent to enter into binding contracts under Indian law, that you are not prohibited from using online commerce services, and that you will use the Platform only for lawful purposes. The Company reserves the right to suspend or terminate any account if it determines that the eligibility requirements are not met.

5. User accounts

Certain features of the Platform require registration. When creating an account, you agree to:

• Provide accurate and complete information
• Maintain and update your profile information
• Keep your login credentials confidential
• Accept responsibility for all activities carried out through your account
• Notify us immediately of any unauthorised access or suspected security breach

Account responsibility

You are solely responsible for maintaining the confidentiality of your account credentials. YumiGlow shall not be liable for any loss arising from unauthorised use of your account resulting from your failure to safeguard your credentials.

Users are responsible for ensuring that the mobile number and email address associated with their account remain active and accessible. Users must immediately notify the Company if they believe their account credentials, OTPs, or devices have been compromised. The Company reserves the right to refuse registration, suspend, or terminate accounts at its sole discretion where it reasonably believes these Terms have been violated.

6. Electronic communications

By creating an account or using the Platform, you consent to receive communications from YumiGlow through electronic means, including email, SMS, WhatsApp, push notifications, in app notifications, and telephone calls where necessary.

These communications may include order confirmations, delivery updates, payment notifications, security alerts, account verification, customer support responses, service announcements, and promotional campaigns. Where required under applicable law, users will be provided with appropriate options to opt out of promotional communications. Transactional and service related communications may continue to be sent even if promotional communications are disabled.

7. Marketplace model

Elysian Plaza operates as a digital marketplace connecting buyers with verified distributors, suppliers, manufacturers, and brands. The Platform facilitates product discovery, product listings, online ordering, payment collection, order management, customer support, and logistics coordination where applicable.

Unless expressly stated otherwise, YumiGlow does not manufacture the products listed on the Platform. Although YumiGlow undertakes reasonable efforts to onboard trusted distributors and maintain marketplace quality, product specifications, availability, warranties, and manufacturer representations remain the responsibility of the respective seller or manufacturer.

YumiGlow may, from time to time, directly sell selected products under its own inventory or through affiliated business entities. Such products will be identified where applicable.

8. Product information and pricing

We strive to ensure that all product descriptions, specifications, pricing, availability, images, and other information displayed on the Platform are accurate and regularly updated. However, product images are for illustrative purposes only, actual packaging may vary, colours may differ due to device display settings, and manufacturers may revise packaging without prior notice.

Prices displayed on the Platform are generally inclusive of applicable taxes unless otherwise stated, may change without prior notice, may differ between distributors, and may vary based on promotions, offers, availability, or geographical serviceability.

9. Orders and payments

An order constitutes an offer to purchase and is confirmed only upon acceptance by the seller and successful payment authorisation. The Company reserves the right to refuse, limit, or cancel orders that appear to be commercial misuse, fraudulent transactions, duplicate purchases, or attempts to manipulate promotional offers.

Payments are processed through secure third party payment service providers. YumiGlow does not store complete payment card information on its own servers. Users agree to comply with the terms and conditions of the respective payment service providers used on the Platform.

10. User responsibilities

By using the Platform, you agree to use it responsibly and in accordance with these Terms and applicable laws. You agree to:

• Provide accurate and up to date information at all times
• Purchase products only for lawful purposes
• Review product descriptions, specifications, and pricing before placing an order
• Keep your account credentials secure
• Promptly notify the Company of any unauthorised use of your account

11. Prohibited conduct

You must not:

• Reverse engineer, copy, modify, or reproduce any part of the Platform except as permitted by applicable law
• Infringe the intellectual property rights of YumiGlow, distributors, manufacturers, or third parties
• Upload false, misleading, unlawful, or infringing content
• Attempt unauthorised access to accounts, data, or Platform systems
• Use the Platform in a manner that could damage the Company reputation or disrupt marketplace operations

Consequences of violation

Violation of these provisions may result in suspension or permanent termination of your account, cancellation of orders, and legal action where appropriate.

12. Product availability

All products displayed on the Platform are subject to availability. Inventory levels are maintained by sellers and may change without prior notice.

Occasionally, products may become unavailable after an order has been placed due to reasons including inventory discrepancies, damaged stock, manufacturer recall, discontinuation of products, or supply chain disruptions. In such cases the order or the affected products may be cancelled and refunded in accordance with the Refund and Cancellation Policy.

13. Shipping and delivery

The Company will make commercially reasonable efforts to facilitate timely delivery but does not guarantee delivery within any specific timeframe unless expressly stated. Detailed delivery terms are available in the Shipping and Delivery Policy.

14. Intellectual property

The Platform and all content available on it, including software, source code, trademarks, logos, trade names, graphics, icons, product categorisation, website layout, user interface, text, photographs, videos, illustrations, databases, and documentation, are owned by or licensed to YumiGlow or their respective owners and are protected under applicable intellectual property laws.

Nothing contained in these Terms grants you ownership of any intellectual property rights. You may not copy, reproduce, republish, distribute, modify, sell, license, create derivative works, or commercially exploit any content from the Platform without prior written consent from YumiGlow or the applicable rights holder.

15. Third party services

The Platform may integrate third party services including payment gateways, logistics providers, courier partners, analytics services, communication platforms, authentication providers, and marketing services.

Your use of such third party services may be governed by their respective terms and privacy policies. YumiGlow is not responsible for the content, policies, practices, availability, or performance of third party services.

16. Promotional offers

From time to time, YumiGlow may introduce promotional campaigns, coupons, or discount codes. Each promotional offer may be governed by separate terms.

The Company reserves the right to modify, suspend, withdraw, or reject promotional offers and claims, and to cancel benefits obtained through misuse, without prior notice. Promotional benefits have no cash value unless expressly stated.

17. Reservation of rights

YumiGlow reserves the right, at its sole discretion and subject to applicable law, to refuse or remove product listings, modify or discontinue Platform features, limit order quantities, restrict access to certain services, and take reasonable steps to protect the integrity of the marketplace.

18. Suspension and termination

The Company may suspend or terminate access where a user has violated these Terms, provided false information, engaged in fraudulent or suspicious activity, misused promotional offers, attempted unauthorised access to Platform systems, violated applicable laws or regulations, abused employees, distributors, delivery personnel, or customer support representatives, or engaged in activities detrimental to the Platform or its users.

Upon termination, the Company may deactivate your account and remove access to certain services, subject to applicable legal obligations. Termination shall not affect rights or liabilities that accrued before termination.

19. Disclaimer of warranties

The Platform and its services are provided on an as is and as available basis. To the extent permitted by law, YumiGlow disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and uninterrupted or error free operation of the Platform.

20. Limitation of liability

To the extent permitted by applicable law, YumiGlow shall not be liable for product defects attributable to manufacturers, delivery delays caused by logistics partners, loss of profits, business interruption, loss of goodwill, data loss, force majeure events, or actions or omissions of third party sellers, manufacturers, distributors, or service providers.

YumiGlow acts primarily as a marketplace facilitating transactions between buyers and authorised sellers. Nothing in these Terms excludes liability that cannot legally be excluded under applicable law.

21. Indemnity

You agree to indemnify, defend, and hold harmless YumiGlow Online Services Private Limited, its directors, officers, employees, affiliates, licensors, distributors, and service providers from any claims, losses, damages, liabilities, penalties, expenses, or legal costs arising from your breach of these Terms, your misuse of the Platform, your violation of applicable laws, or your infringement of third party rights.

22. Governing law and jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Any dispute arising out of or relating to these Terms or use of the Platform shall be subject to the exclusive jurisdiction of the competent courts located in Hyderabad, Telangana.

Users agree to comply with all applicable laws while accessing or using the Platform, including, where relevant, the Information Technology Act, 2000 and rules made thereunder, the Digital Personal Data Protection Act, 2023, the Consumer Protection Act, 2019, the Consumer Protection (E Commerce) Rules, 2020, Goods and Services Tax laws, and any other laws governing electronic commerce, taxation, consumer rights, privacy, and digital transactions.

Nothing contained in these Terms shall be interpreted as limiting any rights available to consumers under mandatory provisions of applicable law.

23. Changes to these Terms

The Company may update these Terms from time to time. Updated versions will be published on the Platform with a revised Last Updated date, and continued use of the Platform following publication constitutes acceptance of the revised Terms.

24. Entire agreement

These Terms, together with the Privacy Policy, Refund and Cancellation Policy, Shipping and Delivery Policy, and any additional policies published by YumiGlow, constitute the entire agreement between you and the Company regarding use of the Platform.
